This course focuses on the fundraising process for high-growth technology start-ups. Students will learn about the market participants, vocabulary, processes and risks that are unique to the start-up funding ecosystem. Substantive discussions of term sheets, valuation, cap tables, investor universe, modeling and the fundraising process will be complemented with case studies and guest lectures by local investors and CEOs. Upon completion of the course the student should be able to:
 

  • Understand the financial differences between a start-up and a mature company
  • Explain the importance of risk and de-risking in the context of venture finance
  • Describe the start-up investor universe and their investment criteria
  • Make sound entity type and capital structure decisions
  • Value a start-up using a market approach
  • Prepare and negotiate an investment term sheet
  • Evaluate the attractiveness of a start-up funding proposal
  • Understand the developing market for token offerings
